1. Acceptance of Terms

These Terms and Conditions govern access to and use of SmartSchool Online, a school management software platform operated by ProtonStack Technologies Private Limited (“Company”, “we”, “our” or “us”).

By accessing the website, registering an account, purchasing a subscription, or using the platform, you agree to these Terms. If you are accessing the platform on behalf of a school or other organization, you confirm that you are authorized to accept these Terms on its behalf.

If you do not agree, you must discontinue use of the service.

2. Services Provided

SmartSchool Online may provide features including:

  • Student admissions and student information management.

  • Attendance and academic records.

  • Class, subject, timetable, and examination management.

  • Teacher and staff management.

  • Parent and school communications.

  • Reports, dashboards, and administrative tools.

  • Subscription management and other features introduced from time to time.

Available features depend on the selected subscription plan and any separate written agreement.

We may update, improve, replace, or discontinue features where reasonably necessary, subject to applicable law and contractual commitments.

3. Account Registration and Security

Schools and authorized users must provide accurate, current information and keep account details up to date.

Each user must:

  • Keep login credentials confidential.

  • Use only their authorized account.

  • Avoid sharing credentials with unauthorized persons.

  • Notify the Company promptly of suspected account compromise.

  • Follow the permissions and access restrictions assigned by the school.

School administrators are responsible for managing user accounts and assigning appropriate permissions within their institution.

4. School Responsibilities and Student Records

The school is responsible for the accuracy, lawfulness, and appropriate use of the information it uploads or maintains.

Schools must:

  • Have the legal authority and necessary permissions to provide personal information.

  • Comply with applicable education, privacy, and child-protection requirements.

  • Provide required notices and obtain required consents.

  • Restrict student information to authorized users.

  • Review important academic and administrative records for accuracy.

  • Use the platform only for lawful educational and administrative purposes.

The Company is not responsible for incorrect records entered by a school or its users, except where responsibility arises under applicable law or the Company's own obligations.

5. Acceptable Use

You must not:

  • Use the platform for unlawful, fraudulent, or misleading purposes.

  • Access accounts, records, or systems without authorization.

  • Attempt to bypass security controls or access restrictions.

  • Upload malicious software or conduct harmful activity.

  • Interfere with the availability, integrity, or security of the platform.

  • Copy, resell, sublicense, or commercially exploit the software without written authorization.

  • Reverse engineer or attempt to extract source code except where permitted by applicable law.

  • Upload content that infringes intellectual property, privacy, or other legal rights.

6. Subscription Plans and Fees

Access may require a paid subscription or other agreed payment.

The applicable plan, features, student or staff limits, subscription period, implementation fees, and other charges will be displayed at checkout or specified in the relevant quotation or agreement.

Unless expressly stated otherwise:

  • Fees are payable in advance for the selected subscription period.

  • Taxes will be charged as required by law.

  • Additional users, storage, customization, integrations, or support may incur additional charges.

  • The school must review the selected plan and billing details before payment.

Where a signed quotation or separate agreement conflicts with these Terms regarding commercial details, the specific written agreement will govern those details.

7. Payment and Billing

Payments must be made using the available payment methods.

The school is responsible for providing correct billing information and ensuring that payments are authorized. If a payment fails, is reversed, or remains outstanding, we may notify the account holder and restrict paid features after reasonable notice, subject to applicable law and contractual obligations.

Any applicable taxes, invoices, and transaction records will be handled in accordance with legal requirements.

8. Intellectual Property

The software, platform design, source code, logos, trademarks, documentation, and related materials are owned by or licensed to the Company.

Subject to these Terms and payment of applicable fees, we grant the subscribing institution a limited, non-exclusive, non-transferable right to use the platform during its subscription period.

The school retains its rights in its own data and content. The school grants the Company permission to host, process, transmit, back up, and display that content as reasonably necessary to provide the service.

9. Data Protection and Confidentiality

Our processing of personal information is described in the Privacy Policy.

Schools must protect confidential student, parent, staff, and institutional information and must not provide access to unauthorized persons.

Both parties should take reasonable measures to protect confidential information received through the service. These obligations do not apply to information that is lawfully public, independently developed, or required to be disclosed by law.

10. Availability, Maintenance, and Backups

We aim to maintain a reliable service but do not guarantee uninterrupted or error-free availability.

Temporary interruptions may occur due to maintenance, infrastructure failures, connectivity problems, third-party service outages, cybersecurity incidents, or events beyond our reasonable control.

We will take reasonable measures to maintain and recover service. Schools should maintain appropriate records and backups where necessary for their operational requirements and must not rely on the platform as their sole recordkeeping mechanism unless expressly agreed.

11. Third-Party Services

Some features may rely on third-party hosting, payment, communication, or integration providers. Their availability and terms may be outside our direct control. We will address issues within our reasonable control and as required by law.

12. Suspension and Termination

We may suspend or restrict access where reasonably necessary to address security threats, unlawful activity, material breaches of these Terms, non-payment, or risks to other users.

Where practicable and legally permitted, we will provide notice and an opportunity to remedy the issue.

A school may terminate its subscription in accordance with the Cancellation Policy and its applicable subscription agreement.

Termination does not eliminate unpaid obligations or rights and duties that are intended to survive termination.

13. Limitation of Liability

To the maximum extent permitted by applicable law, the Company will not be liable for indirect, incidental, special, or consequential losses arising from use of the platform, including loss of business opportunities, where such exclusion is legally enforceable.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including applicable statutory rights or liability arising from fraud, wilful misconduct, or other matters for which exclusion is prohibited by law.

Any additional limitation or cap on liability must be set out in a valid agreement and will apply only to the extent permitted by law.

14. Indemnity

To the extent permitted by law, a school or user may be responsible for losses and claims resulting from its unlawful use of the platform, infringement of third-party rights, or material breach of these Terms. This clause does not apply to the extent a claim results from the Company's own breach or unlawful conduct.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the website, platform, or other reasonable means where appropriate. Continued use after an update takes effect constitutes acceptance only to the extent legally valid.

16. Governing Law and Disputes

These Terms are governed by the laws of India. Disputes will be handled by the competent courts in Bengaluru, Karnataka, subject to applicable law and any mandatory consumer or other statutory jurisdiction.
